Terms of service

Last Updated: September 2026

These Terms of Service ("Terms") govern your use of services provided by Troll Tech Ltd and its subsidiary HoyCall Ltd. By using our Services, you agree to be bound by these Terms.

1. Definitions and Interpretation

In these Terms:

  • "Troll Tech Ltd" means the parent company registered in England and Wales, providing general technology services
  • "HoyCall Ltd" means the subsidiary company registered in England and Wales, providing AI voice agent services
  • "Company", "we", "us", or "our" refers collectively to Troll Tech Ltd and HoyCall Ltd, or individually as context requires
  • "Services" means all services provided by either company, including but not limited to voice agent services, software development, and technology solutions
  • "AI Services" means specifically the voice agent services provided by HoyCall Ltd, including inbound and outbound call handling
  • "Voice Agents" means our AI-powered voice communication systems
  • "Client" means any business or individual who subscribes to our Services, whether directly from us or through a Partner
  • "Partner" means a business licensed by HoyCall Ltd under a Partner Agreement to market, sell and provide access to the AI Services under the Partner's own brand
  • "Partner Agreement" means the White Label AI Voice Agent Services Agreement executed between HoyCall Ltd and a Partner
  • "Order Form" means a document executed by us and a Client or Partner setting out the commercial terms that apply to them, including any addenda and supplements
  • "End User" means any individual who interacts with our Voice Agents
  • "UK GDPR" means the UK General Data Protection Regulation
  • "PECR" means the Privacy and Electronic Communications Regulations 2003

These Terms are governed by the laws of England and Wales.

2. Who You Are Contracting With, and Order of Precedence

2.1 Direct Clients

If you subscribe to the Services directly from us, your contract is with Troll Tech Ltd or HoyCall Ltd as identified in your Order Form, and these Terms apply to that contract.

2.2 Clients of a Partner

The AI Services are also delivered through Partners under their own branding. If you obtained the Services from a Partner:

  • Your contractual relationship, including pricing, invoicing, and first-line support, is with that Partner and not with us. The Partner sets its own prices and terms
  • The Partner is responsible for all marketing, sales, customer relationships, support, and billing in respect of your account
  • We remain responsible for the technical delivery, maintenance and backend support of the underlying platform, and these Terms describe how that platform operates and the limits that apply to it
  • We act as a data processor in respect of personal data processed through the platform, as set out in Section 9

2.3 Partners

If you are a Partner, your relationship with us is governed by your Partner Agreement and any executed Order Form. These Terms apply to the extent they are not inconsistent with that agreement.

2.4 Order of Precedence

Where more than one document applies, they take precedence in the following order:

  • First, an Order Form executed by both parties, but only in respect of the commercial terms it expressly varies (including any included minute allowance, monthly minimum charge, discount tier, onboarding fee and its payment schedule, trial period, or initial term)
  • Second, a signed Partner Agreement or other signed services agreement
  • Third, these Terms

These Terms do not vary or override a signed agreement, and no side letter, email or other document varies a signed agreement unless it is executed by both parties and expressly refers to it.

3. Services Provided

3.1 AI Services by HoyCall Ltd

HoyCall Ltd provides the following AI-powered voice agent services:

3.1.1 Inbound Voice Agent Services
  • The base AI Agent package includes a number of inbound call minutes per agent per calendar month (the "Included Allowance"), as specified in the applicable Order Form or published price list
  • Inbound call minutes are not billed per minute. Where an agent requires more than the Included Allowance, additional inbound minutes are purchased in monthly bundles at the rates set out in our published price list
  • We provide monthly usage reports, and advance notification when an agent reaches 80% of its Included Allowance
  • We will not apply surcharges, throttling, or usage restrictions without prior written notice
  • Service availability is subject to the technical limitations described in clause 3.4
3.1.2 Outbound Voice Agent Services
  • Charged on a per-minute basis
  • Minimum call duration charges may apply
  • Campaign management tools provided
  • Subject to regulatory compliance requirements (see Section 5)
3.1.3 Consumable Services

Consumable services, including outgoing SMS messages and outbound calls, are billed at our standard rates. Any discount that applies to recurring subscription charges does not apply to consumables unless expressly stated in an Order Form.

3.2 General Technology Services by Troll Tech Ltd

Troll Tech Ltd provides software development, consulting, and other technology services as separately agreed.

3.3 Standard of Service

We will provide the Services with reasonable skill and care, and substantially in accordance with the applicable documentation. We warrant that we hold and will maintain all licences, consents and permissions necessary to perform our obligations.

If the Services fail to conform to that warranty, and the failure is not caused by misuse or unauthorised modification, we will use reasonable efforts to correct the issue or to provide an alternative means of achieving substantially the same functionality. This is your sole and exclusive remedy for such non-conformance.

3.4 Service Limitations

Our Voice Agents use artificial intelligence technology. While we strive for accuracy and reliability, we cannot guarantee that the AI Services will:

  • Be error-free or uninterrupted
  • Meet all specific requirements or expectations
  • Result in successful business outcomes

You acknowledge that the Services may be subject to limitations, delays and failures inherent in internet-based communications and third-party infrastructure. We are not liable for unavailability or service failures caused by matters outside our reasonable control, including force majeure events, network or hosting outages, hardware or software failures outside our control, and denial of service attacks.

3.5 Maintenance

We may temporarily suspend or limit access to the Services for maintenance, upgrades, repairs or relocation. We will give advance notice of any planned outage expected to last more than four hours, and at least 72 hours' notice of a scheduled maintenance window.

4. Partner (White Label) Services

This Section applies to Partners. It summarises terms set out in full in the Partner Agreement, which prevails in the event of any inconsistency.

4.1 Licence

A Partner is granted a non-exclusive, non-transferable, non-sublicensable licence, during the term of its Partner Agreement, to market, sell and provide access to the AI Services to its Clients under its own branding. The Partner has full discretion over the prices it charges its Clients. The Partner may provide access only to its Clients, and only under a resale or subscription model that complies with the Partner Agreement.

4.2 Branding

Services made available under a Partner Agreement are branded under the Partner's or its Clients' names. Our trademarks, trade names, logos and other brand elements do not appear in the Partner's version of the Services unless both parties agree otherwise in writing, and no licence to use our brand elements is granted. We deliver the Services to a Partner's Clients through a dedicated portal reflecting the Partner's brand.

4.3 Partner Responsibilities

  • Maintaining professional standards in marketing, sales and customer service, and dealing with Clients fairly and honestly
  • All marketing, promotion, customer acquisition, customer relationships, support and billing for its Clients
  • All activities of its personnel, Clients and authorised users, including taking commercially reasonable steps to prevent unauthorised access and notifying us promptly of any unauthorised use or security breach
  • Ensuring that it and its Clients comply with all applicable laws and regulations in connection with the use, promotion and resale of the Services, including the requirements in Section 5
  • Ensuring that it and its Clients obtain and maintain all consents, licences and permissions required for us to perform our obligations
  • Completing and maintaining certification for its designated sales and support personnel, as set out in the Partner Agreement

4.4 Restrictions

A Partner must not, and must not permit any third party to:

  • Modify, translate, reverse engineer, decompile, disassemble or create derivative works based on the Services, except as applicable law expressly permits
  • Bypass or circumvent usage limits, timing controls, access restrictions or other technical limitations built into the Services
  • Remove, obscure or alter proprietary notices, trademarks or branding elements, except as expressly permitted for re-branding under the Partner Agreement
  • Reproduce, frame, mirror or display any part of the Services, or access the Services in order to build a competing product or to copy their features, functions or design

4.5 Partner Commercial Terms

Partner discounts, monthly minimum charges, onboarding fees, trial periods, initial term, the Marketing Development Fund programme, and any post-termination revenue-sharing arrangements are set out in the Partner Agreement and the applicable Order Form. They are confidential and are not published here.

4.6 Client Ownership

Clients introduced, acquired or serviced by a Partner remain that Partner's clients. We do not solicit a Partner's Clients, or use a Partner's client data to target them, during the term of the Partner Agreement and for the period after it ends that is stated in that agreement. Where a Partner Agreement gives a Partner wider protection, that agreement applies, and nothing in these Terms reduces it.

5. Client Responsibilities and Compliance

5.1 General Responsibilities

The Client warrants and undertakes that:

  • All use of the Services will comply with applicable laws and regulations
  • They will not use the Services for any unlawful or fraudulent purpose
  • They will provide accurate and complete information to us
  • Their systems and networks will meet the technical specifications we provide, and they will maintain appropriate access controls, including protection of login credentials

5.2 Outbound Call Compliance (Critical - AI Services)

For all outbound calling services provided by HoyCall Ltd, the Client is solely responsible for ensuring compliance with all applicable UK laws and regulations, including but not limited to:

  • UK GDPR Compliance: Ensuring lawful basis for processing personal data
  • PECR Compliance: Obtaining appropriate consent for marketing calls
  • TPS/CTPS Checking: Verifying numbers against Telephone/Corporate Preference Service registers
  • Call Recording: Obtaining consent and providing appropriate notices
  • Calling Hours: Adhering to acceptable calling times
  • Caller Identification: Ensuring accurate caller ID information

The Client acknowledges that failure to comply with these requirements may result in:

  • Regulatory fines and penalties
  • Criminal prosecution
  • Civil liability
  • Immediate termination of Services

Where the Services are provided through a Partner, the Partner is responsible for ensuring that it and each of its Clients meet these requirements.

5.3 Indemnification

By us. We will defend you against a third-party claim that the software or the Services, as provided by us and used in accordance with these Terms, infringe that third party's intellectual property rights enforceable in the United Kingdom, and will pay damages finally awarded or agreed in settlement, together with reasonable legal costs. This does not apply to claims arising from your data, your brand attributes, modifications not made by us, combination with products or services not supplied by us, or use in breach of these Terms. Where such a claim is made or is in our reasonable opinion likely, we may procure the right for you to continue using the Services, modify or replace the affected part so that it is non-infringing without material loss of functionality, or, if neither is commercially reasonable, terminate the affected Services on written notice and refund fees paid in advance for the period after termination.

By you. You will defend us against a third-party claim, including one brought by a Client, arising from:

  • Your data or your brand attributes
  • Any representation, warranty or commitment you made to a Client going beyond the documentation or these Terms
  • Use of the Services by you or your Clients in breach of these Terms or applicable law

and will pay damages finally awarded or agreed in settlement, together with reasonable legal costs.

Procedure. The indemnified party must notify the indemnifying party promptly in writing, give it sole control of the defence and settlement, and provide reasonable cooperation at the indemnifying party's expense. No settlement may impose an obligation on, or admit fault by, the indemnified party without its written consent, which shall not be unreasonably withheld.

Except where a claim falls within an exception in clause 13.3, liability under this clause is subject to the limitations in Section 13, including the cap. This clause states each party's sole and exclusive remedy for third-party claims of the kind described in it. Neither party indemnifies the other for its own breach of these Terms except as expressly set out here; any other breach is remedied under the general law, subject to Section 13. This clause survives termination.

6. Fees and Payment

6.1 Fees

  • Fees are as set out in the applicable Order Form, service agreement or published price list
  • All fees are exclusive of VAT and of any other taxes, duties, levies or similar governmental charges, which are the Client's responsibility except for those based on our income, property or employees
  • Fees are payable in GBP unless the Order Form states otherwise
  • Where a monthly minimum charge applies, it is payable regardless of actual usage. If the fees for a given month exceed the minimum then in effect, the actual fees are payable

6.2 Payment Terms

  • Payment is due within 14 days of the date of our invoice, unless the applicable Order Form or service agreement specifies different terms
  • Any amount not paid by its due date bears interest from the due date until payment in full, whether before or after judgment, at 4% per annum above the Bank of England base rate from time to time, accruing daily. Interest is calculated on each overdue invoice separately and is not compounded. The parties agree that this is a substantial remedy for late payment for the purposes of the Late Payment of Commercial Debts (Interest) Act 1998

6.3 Overdue Payments and Suspension

If any amount is 30 days or more overdue, we may, without waiving any other right:

  • Accelerate all outstanding fees so that they become immediately due; and
  • Suspend access to the Services until payment is received in full. We will give at least seven days' written notice before suspending the Services for non-payment

6.4 Price Adjustments

We may review and adjust our list prices no more than once per calendar year. Any increase will not exceed 5% or the UK Consumer Price Index for the preceding 12 months, whichever is lower. This limit applies to all fees and consumable charges, including inbound and outbound call and SMS rates. We will give at least 60 days' written notice of a proposed price change. Any change to the fees payable under a signed agreement takes effect only as that agreement provides.

7. Service Levels and Support

7.1 Availability

We use commercially reasonable efforts to make the Services available 99.9% of the time during each calendar month, excluding:

  • Scheduled maintenance windows, with at least 72 hours' advance notice
  • Emergency maintenance, with notice as soon as reasonably practicable
  • Force majeure events
  • Failures caused by the Client's or a Partner's acts or omissions
  • Third-party service failures beyond our reasonable control

7.2 Service Credits

If we fail to meet the 99.9% availability target in a calendar month, service credits are available against the following month's invoice as follows:

  • 99.5% to 99.9%: 5% of monthly fees
  • 99.0% to 99.49%: 10% of monthly fees
  • 95.0% to 98.99%: 25% of monthly fees
  • Below 95%: 50% of monthly fees

Service credits are the sole remedy for a failure to meet the availability target. They do not apply to beta or preview features, to issues caused by the Client's or a Partner's equipment, software or network, or to any suspension for non-payment or breach.

7.3 Support Response Times

An initial response means acknowledgement by a member of our technical staff and the start of investigation. Resolution targets are set out in the applicable agreement.

  • Critical (complete service outage: calls to Client numbers are not being answered by the Services). Within Support Hours, 1 hour. Outside Support Hours, 4 hours for incidents reported between 08:00 and 22:00 UK time on any day, including weekends and public holidays, and by 09:00 UK time for incidents reported between 22:00 and 08:00
  • High (major functionality unavailable, multiple Clients affected). Within Support Hours, 4 hours. Outside Support Hours, within 1 hour of the start of the next Support Hours
  • Medium (minor functionality issues, or a single Client affected). 8 Support Hours, counted from the start of the next Support Hours where reported outside them
  • Low (general questions, feature requests). 24 Support Hours, counted from the start of the next Support Hours where reported outside them

Response times run from the earlier of your report and our own monitoring alert. A Critical incident outside Support Hours must be reported through the emergency channel stated in the documentation, which includes a telephone number; a report made only by ordinary email or through the management portal outside Support Hours is treated as received at the start of the next Support Hours. Once we have responded to a Critical incident we work on it continuously until the Services are restored or a workaround is in place. Where a Critical incident is caused by a failure at a third-party provider listed in the Data Processing Addendum, our obligation is to escalate to that provider without delay and keep you informed until service is restored.

7.4 Support Hours and Scope

Support and maintenance services are provided from 09:00 to 16:00 UK time, Monday to Friday, excluding public holidays in England (the "Support Hours"). References in these Terms to business hours mean Support Hours, and a business day means a day on which Support Hours occur. Outside Support Hours the Services continue to run unattended on monitored infrastructure, and the only support commitment is the Critical incident response in clause 7.3.

Support covers assistance in locating and correcting problems with the software, bug fixes and code corrections to bring the software into substantial conformity with its operating specifications, and enhancements we make generally available to subscribers without charge.

Where the Services are provided through a Partner, the Partner provides first-line support to its Clients, including basic product questions, account and billing enquiries, initial troubleshooting, and onboarding assistance. We provide second and third-line support, including advanced technical troubleshooting, defect resolution, integration and configuration issues, and escalations.

8. Service Continuity and Changes to the Services

We may update or modify the Services during the term to add features, improve functionality or address security issues, provided the changes do not materially reduce core functionality.

We will not discontinue, remove or materially reduce any feature, function or integration that forms part of the Services without the affected Client's or Partner's prior written consent, and any replacement functionality will be of equal or superior capability.

We will give at least 30 days' prior written notice of any material change to the terms applying to a Client or Partner. Material changes include changes to pricing or fee structure, service levels or SLA commitments, data protection or security measures, limitation of liability provisions, term or termination provisions, and features, functions or integrations. Where a material change materially and adversely affects use of the Services, the affected party may terminate without penalty within 30 days of receiving the notice. Non-material changes, such as administrative updates or clarifications, may be made with reasonable notice.

9. Data Protection

9.1 Compliance

Both parties comply with their respective obligations under the UK GDPR and the Data Protection Act 2018. Our processing of personal data is also governed by our Privacy Policy.

9.2 Roles

In respect of personal data processed through the Services, the Client is the data controller and we act as data processor. Where the Services are provided through a Partner, the Partner and its Clients are the data controllers and we act as processor on their behalf. As processor we will:

  • Process personal data only on documented instructions from the controller
  • Ensure that persons authorised to process personal data are bound by confidentiality obligations
  • Implement appropriate technical and organisational measures to secure the processing
  • Assist in responding to data subject requests
  • Delete or return all personal data at the end of the provision of the Services
  • Make available the information necessary to demonstrate compliance

9.3 Security Measures

  • Encryption of personal data in transit and at rest
  • Regular security assessments and penetration testing
  • Access controls and authentication mechanisms
  • Regular backups and disaster recovery procedures
  • Employee training on data protection
  • Incident response procedures

9.4 Data Breach Notification

We will notify the affected Client or Partner without undue delay, and in any event within 48 hours of becoming aware of a personal data breach. The notification will describe the nature of the breach, the categories and approximate number of data subjects and records affected, the likely consequences, and the measures taken or proposed to address it.

9.5 International Transfers

Personal data is transferred outside the UK only to countries recognised as adequate by the UK authorities, subject to appropriate safeguards such as Standard Contractual Clauses, or with the controller's prior written consent.

9.6 Data Processing Addendum

Where required, the parties will execute a separate Data Processing Addendum setting out the specific processing activities, categories of data and technical measures. That addendum forms an integral part of the agreement between the parties.

10. Client Data and Confidentiality

10.1 Ownership of Client Data

The Client retains all rights, title and interest in its data, including related intellectual property rights. The Client grants us a non-exclusive licence to use, process, store, transmit and display that data as necessary to deliver the Services and ensure service continuity, subject to the confidentiality obligations below. We use Client data only for the purposes of providing the Services. After termination we may retain and use anonymised, de-identified data for our internal business purposes.

10.2 Confidentiality

Each party will hold the other's confidential information in confidence, will not use or disclose it without the other's prior written consent, and will apply reasonable safeguards to protect it. These obligations do not apply to information that is or becomes public through no breach by the recipient, was already lawfully held without restriction, was lawfully obtained from a third party not under a duty of confidence, or was independently developed without reference to the confidential information. Confidentiality obligations survive for five years after termination, and indefinitely in respect of trade secrets for as long as they remain trade secrets.

Neither party will disclose the commercial terms of a signed agreement, or the identity of a Partner's Clients, without the other's prior written consent, except where required by law.

11. Intellectual Property

  • All intellectual property rights in the software, Services, documentation and other materials we provide remain with the respective company (Troll Tech Ltd or HoyCall Ltd), except for the limited rights expressly licensed. No implied licences are granted
  • The Client is granted a limited, non-exclusive licence to use the Services
  • The Client retains ownership of their data and content
  • A Partner grants us a non-exclusive, royalty-free licence, for the term of its Partner Agreement, to use its trademarks, trade dress, graphics and other branding solely in order to provide the Services, including the right to sublicense them to our authorised contractors and affiliates for that purpose. We acquire no other rights in them
  • All customer-facing branding, interfaces, marketing assets, portals and systems created under a Partner Agreement are the sole property of the Partner, including branded portals, demonstration interfaces, client dashboards and marketing collateral. We will transfer or make those assets available to the Partner on request, in commonly used and editable formats where applicable

12. Term, Termination and Transition

12.1 Term

These Terms commence on first use of the Services. Where a signed agreement or Order Form specifies an initial term, that term applies; where none is specified for a Partner Agreement, the initial term is 12 months, renewing automatically for successive 12-month periods unless either party gives written notice of non-renewal at least 30 days before the end of the then-current term.

12.2 Termination

An agreement may be terminated:

  • By either party on three months' written notice, except that we may not terminate for convenience during the initial 12 months of a Partner's initial term, other than for an uncured material breach
  • By us, if the Client fails to pay any amount due within 30 days of written notice of delinquency
  • By either party, if the other commits a material breach and fails to cure it within 30 days of written notice
  • By either party immediately, if the other becomes insolvent, makes an assignment for the benefit of creditors, or ceases to trade in the ordinary course of business

Where a shorter notice period is agreed in an Order Form or service agreement, that period applies. During any notice period we will continue to deliver the Services without interruption or degradation, and will not solicit a Partner's Clients.

12.3 Outstanding Payments

Termination does not relieve the Client of the obligation to pay amounts due and outstanding at termination, and does not affect accrued rights and obligations.

12.4 Transition and Data Export

On termination or expiry:

  • We provide a transition period of up to 60 days, during which the Services remain available to existing users at the then-current rates, data and configuration remain accessible, and we provide full API export support at no additional cost, including documentation and technical assistance
  • Within 30 days of termination we make available all Client data, records and configurations in a commonly used, machine-readable format such as CSV or JSON, at no additional cost
  • We will not delete or withhold Client data until we receive written confirmation that migration is complete. On that confirmation, or 90 days after termination if earlier, we securely delete the data and will certify the deletion in writing on request
  • Telephone numbers used in providing the Services are provisioned through Twilio. On termination, or at any time on written request, we transfer any telephone number assigned to a Client or Partner to a Twilio account they hold, at no additional charge and within 30 days of the request. We will not withhold, suspend or reassign a number while a transfer request is outstanding
  • Additional transition assistance may be provided at our then-current professional services rates

12.5 Survival

The following survive termination: payment obligations for services rendered, confidentiality (Section 10), data protection obligations for retained data (Section 9), intellectual property rights (Section 11), limitation of liability (Section 13), indemnification (clause 5.3), and governing law and jurisdiction (clause 15.7).

13. Limitation of Liability

13.1 Exclusions

To the maximum extent permitted by law, neither party shall be liable to the other for:

  • Any indirect, incidental, special, consequential or punitive damages
  • Loss of profits, revenue, or anticipated savings
  • Loss of business or business opportunities
  • Loss of goodwill or reputation
  • Lost or missed sales resulting from the use or inability to use the Services

This applies regardless of the theory of liability and even if the party has been advised of the possibility of such damages.

13.2 Liability Cap

Subject to clause 13.3, each party's total cumulative liability arising out of or relating to these Terms shall not exceed the greater of:

  • The total fees paid or payable in the 12 months preceding the event giving rise to the liability; or
  • £15,000

13.3 Exceptions

The exclusions and cap above do not apply to:

  • Either party's breach of its confidentiality obligations under Section 10
  • The Client's payment obligations
  • Either party's gross negligence or wilful misconduct
  • Either party's breach of its data protection obligations under Section 9 or under a Data Processing Addendum
  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under applicable law

For the avoidance of doubt, the indemnities in clause 5.3 are subject to the limitations in this Section, including the cap above, except to the extent the underlying claim falls within one of the exceptions listed. A breach is not taken outside the cap merely because it is also the subject of an indemnity.

The parties acknowledge that these limitations are an essential element of the commercial bargain, and that without them the economic terms would be substantially different. This Section survives termination.

14. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, or failure of third-party services.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any signed services agreement, Partner Agreement and Order Form, constitute the entire agreement between the parties and supersede all prior agreements and understandings. Where those documents conflict, the order of precedence in clause 2.4 applies.

15.2 Amendments

We may update these Terms from time to time. Continued use of the Services after a change constitutes acceptance of the updated Terms. Material changes are subject to the notice and termination rights in Section 8, and no update to these Terms varies a signed agreement, which may be amended only in writing signed by both parties and expressly referring to it.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.4 No Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

15.5 Assignment and Change of Control

Neither party may assign or transfer these Terms, or the rights and obligations under them, without the other's prior written consent, which shall not be unreasonably withheld.

Where a Partner is an individual or an unincorporated business when its Partner Agreement takes effect, it may novate that agreement to a UK limited company it controls and which trades under the same name, on not less than 14 days' written notice and on the terms set out in that agreement. Our consent to such a novation is given in advance, the agreement continues on identical terms, and no period restarts.

On a merger, acquisition or change of control of either party, existing commercial terms, pricing and service obligations continue unaltered for the period stated in the applicable agreement, and the acquiring entity is bound by them. We will give at least 30 days' prior written notice of any proposed change of control, and the affected Partner may terminate on written notice within 60 days of being informed of it.

15.6 Third Party Rights

These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.

15.7 Governing Law and Jurisdiction

These Terms are governed by English law. The parties will first attempt in good faith to resolve any dispute by discussion between senior representatives within 30 days of one party notifying the other of it. Any dispute not resolved within that period is subject to the exclusive jurisdiction of the English courts, and the parties waive any objection to jurisdiction or venue. Documents in legal proceedings may be served by post at the address stated below or, if later, at the relevant company's registered office. Nothing here prevents either party from seeking urgent injunctive or other interim relief from any court of competent jurisdiction.

15.8 Notices

Notices under these Terms must be in writing and sent by email to the address specified for the receiving party in the Order Form or, where none is specified, to the email address most recently used by that party to correspond about the agreement. Email is the method of service; notice by post or courier is neither required nor sufficient on its own.

A notice sent by email is deemed received when sent, if sent between 09:00 and 17:00 UK time on a business day, and otherwise at 09:00 UK time on the next business day, provided the sender has not received an automated delivery-failure message. Where the sender receives such a message, it must re-send the notice to any other email address the receiving party has used to correspond, and the notice is deemed received when so re-sent. Either party may change its notice address by notice given under this clause, effective five business days after receipt. This clause does not apply to the service of documents in legal proceedings, which is governed by clause 15.7.
